In fact, we're currently working on a lecture series by Dr. Griffith that we'll present at healthcare conventions to discuss dietary supplements and why people should take them.

| A Message from our President Dr. Les Griffith |

I started taking nutritional supplements when I was a young medical student where I learned how valuable they are to your long term health. It seemed to me a small thing I could do to invest in my own well being. One of the first things I noticed however, was how poorly designed many of the products and formulas were. As I studied how the human body absorbed and used nutrients it became apparent to me that the people formulating these products were not expert in their field. They would apply ham-fisted methods such as "more is better" without really understanding how the body actually uses nutrients. This wasn't the case with all supplement manufacturers, but a surprising majority.
When I approached designing my own nutritional supplements, I did it as an educated consumer. I developed the kind of wish-list products I'd always wanted with unique, effective formulas that contain high quality, all natural ingredients in quantities most useful to the body. I'm extremely pleased with the result which is why I currently use all of NouvelleHEALTH's products daily and have done so since we began making them in 2002.
I also began developing weight management products in 2002 not only because weight loss products are a big seller in the industry, but I was 215 pounds at the time putting me at about 40 pounds overweight! I wanted something that was safe and would give me the help I needed to lose weight with as little suffering that comes with dieting as possible--all while fighting my notorious sweet tooth and love of Italian food.
I lost a lot of weight using our original weight loss supplement Slim and had more success with Slim II. PRiME worked great, but was never able to get me through the 177/178 pound barrier until I started using PRiME Plus with Boost. As of this morning my weight was 172.3 pounds. Other than adding PRiME Plus and Boost, I have changed nothing. I have definitely not been depriving myself as I eat whatever I want, whenever I want and I eat until I am full. Full just takes a whole lot less food now than it used to.

| Introducing Nouvelle's Weight Management Program |

Appetite and eating behavior are regulated by a complex "symphony" of feedback mechanisms from the digestive system, muscles, hormone producing glands, and fat cells that are coordinated and modulated through the hypothalamus of the brain. The types of food we eat, the amount of time we take to eat it and the amount of food we eat all contribute to this as well.
Though taking dietary supplements can help greatly in your weight management program to be truly successful you have to deal with the results of these feedback systems. Therefore, we've developed a weight management program that includes product, diet, & exercise to help our Distributors and customers successfully address these issues
Products
PRiME and PRiME Plus are the core of Nouvelle's Weight Management Program because they improve the brain's ability to coordinate the large amount of data coming from the body as well as to adjust and regulate the appetite and eating behavior itself.
When taken in conjunction with Boost, PRiME and PRiME Plus are made even more effective because of Boost's ability to increase the rate of fat-burn by increasing thermogenesis (the amount of calories burned to maintain body temperature), improving insulin sensitivity (making it easier to transport blood sugar into the cells…sugar that is not transported is made into fat), stimulating energy manufacture, and inhibiting the conversion of calories into fat by the liver.
For additional help, CLA+ is a great product because it has the ability to inhibit the transport of fat into fat cells while at the same time stimulating the transport of fat out of fat cells. CLA+ also has the ability to increase the amount of lean muscle in the body which means an increase in strength, stamina, energy, metabolism, as well as an increase in the rate of calorie burn. Last, but not least, CLA+ can actually reduce the overall number of fat cells that are in our body!

Diet
Diet is not a bad word. It simply means what and how you eat. But there's no way to get around the need to control your diet if you are looking to control your weight. When considering your diet, keep in mind four independent factors:
1. The number of calories that are consumed:
There are many factors that vary the impact a calorie will have on fat production, however, a calorie is essentially still a calorie and if you eat more of them than you burn up; fat is the inevitable result.
2. The starch/sugar/protein content of the foods that are eaten:
Starch and sugar foods over-ride the brain's appetite mechanism (a process termed the "gorging reflex"), which, as well as allowing you to overeat, stimulates the production of highly addictive and pleasure producing opium-like chemicals. With the gorging reflex activated, you'll be able to eat that piece of cake even though you just announced how full you are. Not only that, but eating the cake will create a feedback mechanism where you crave cake after completing a meal. Finally, calorie for calorie, a larger portion of starch and sugar foods are converted directly into fat than protein foods.
- Eating more protein foods reinforces the brain's appetite mechanisms and maintains and inhibits the gorging reflex allowing you to feel full when you're full.
3. The total volume of the food that is eaten:
Food volumes are important because a full stomach triggers the release of an appetite depressing chemical message to the brain that is independent from messages generated from other organs and tissues.
- This means that it is important to your ability to maintain control to make sure that you fill your stomach at each meal. This is accomplished by starting each meal with very low calorie – high fiber foods such as a large mixed green salad and/or a large bowl of non-starchy (without potato, rice, corn) soup.
4. The speed at which food is consumed:
We have the ability to chew and swallow food faster than it can chemically register in our brain. Because of this we very commonly overeat before fully recognizing that we are overeating. A common symptom that we are doing this is when we finish our meal and within a few minutes realize that we are in fact over-full.
- Slowing down is the most helpful remedy to overeating. Give your body enough time to register what you have eaten and you'll feel full after eating less.
- Never eat anything unless you are sitting down.

Never eat in your car.
-
Put your fork down between bites.
-
Chew and swallow one mouthful before putting in another.
-
Concentrate on what feeling full feels like and stop eating when you are full.
This sounds over simplified, but just being aware of what your body is telling you can help greatly when it comes to eating as much as you need.

Wait 10 minutes after "spoiling" dinner to start the meal.

Start dinner with a large mixed green salad and/or a large bowl of non-starchy soup.

Have an entrée of 3 or 4 ounces of fish, chicken, turkey, beef, or pork and 2 servings of non-starchy vegetables such as broccoli and spinach.
TIP: Halfway through the entree put your fork down for about 10 minutes before resuming. Try and have a pleasant conversation or contemplate world events to pass the time! |

Exercise
Exercise is not a bad word, but it ranks up there with "diet" for many. But like the other elements in a weight management program, exercise is a critical piece for success not only in weight management but overall health.
Exercise serves three purposes:
- It burns calories.
-
It builds lean muscle mass.
-
It stimulates an increase in the production of energy and increases metabolism.
Burning calories is pretty straight forward. If you recall above that the number of calories consumed and not used are converted to fat. Exercising uses up stored calories and if you burn more than you consume, you're losing weight!
Building lean muscle mass makes you not only look and feel good, but it improves muscle efficiency therefore increasing the amount of calories burned and increases energy production giving you more energy to burn throughout your day.
Finally, increasing metabolism makes it easier to burn fat and harder to store it.
A good exercise program consists of 30 minutes to one hour every day of a variety of aerobic things from brisk walking, jogging, running, bicycling, swimming, rowing or tennis. You should also include some form of non-aerobic or resistance muscle training as well. Most people start off disliking exercise, but once they get into the habit they feel better, they feel stronger, and they feel healthier.
Your local gym can go a long way toward helping you set up a program that is "right" for you and always make sure that you clear your exercise program with your health care provider if you have any questions.

| Training and Development: Getting Started as a Distributor |
If you're relatively new to multi-level (or network) marketing then you may be asking, now what? Well, first off you should know that there are hundreds of ways to approach and run your business. You can find books, CD's, DVD's, seminars, webinars and conventions completely dedicated to training you to achieve success in this business. What is so appealing about our business is its flexibility and boundless possibilities.
Below we've outlined three of the basic components of network marketing that you should know as you start your Nouvelle Distributorship.
NETWORKING 101
But let's begin with the basics. The first thing to do in network marketing is to develop a network. A network is an interconnected system of people made strong with time and trust. Marketing is the process of promoting, selling and distributing a product or service. NouvelleHEALTH offers both a product (in our line of supplements) and service (in the business opportunity we provide). So network marketing is the process of selling within a group of people whom you have a strong relationship with.
It therefore makes perfect sense when embarking on a network marketing opportunity to start with those who are already within your personal network; your friends and family. Just being your friends and family won't guarantee that they'll be interested in what you have to offer, but we think it's a good way to start for a few reasons:

First, selling to friends and family is a good way to practice your sales pitch (where you explain the benefits of the product or service you're offering).
- You are at the core of your circle of friends and family and they are in your immediate sphere of influence. Your family and friends care about you, your well-being and your success and as such will be open to hear what you have to say, particularly if it's something you're passionate about.

Second, selling to family and friends creates a solid foundation to your network.
- Each family member has their own set of friends. Each friend has their own set of family members and additional friends. If you start with an honest, authentic, connected manner with each contact it will build a solid base for your downline to grow from.

Finally, selling to your friends and family feels good!
- You'll provide top line, high quality vitamin supplements and for those who are interested, an opportunity to make extra money with their own business.
SELLING 101
Learning how to sell something effortlessly can take time of course, but at the core of making a sale is convincing someone to believe what you are telling them. This ability comes from experience with the product and having a passion for it. The experience helps you answer their questions and the passion communicates the honest conviction you have about the product.
Think about when you tell someone about a new restaurant you thought was great or a movie you saw that was outstanding. Your enthusiastic review of these things is a type of "sell" (except that you usually don't get a commission from the restaurant or movie studio!). This ability to talk naturally about the product as if you're just recommending a great movie is the place you want to get to when selling your Nouvelle products.
There's a few ways to do that, but the most effective for someone learning to sell is to gain personal experience with the product. You can do this either by taking the product yourself or knowing someone you trust who is taking the product. There's a saying in the MLM industry "Be a product of the product" and it means simply that it's easier to recommend a movie you've actually seen. But you've probably also watched a movie based only on a friend having heard that a movie was good…even if that friend hadn't seen the film themselves! This is the strength of network marketing and it depends on the trust you develop with your network. If you have people you trust taking a particular product that gives that product a strong review, you can use that information to sell it to others even if you don't take that product yourself. So develop personal experience with the product.
As with all things, learning to sell something takes practice. As easy as it is for us to describe selling product like reviewing a movie, the actual process can be tricky the first few times. Take advantage of your friends and family network as you first learn how to sell product. Working through this process with friends and family allows you to stumble and learn in a very casual and supportive environment.
When you're ready to go to the next level, we'll be there to provide you with additional training or at the very least give you a list of those recommended books, CD's and DVD's.
SIGNING UP DISTRIBUTORS 101
Building up your downline both in width (the amount of Distributors directly below you) and depth (the amount of Distributors under your Distributors under their Distributors and so on until 8 levels deep) can be a powerful way to dramatically increase your commission amounts.
Similar to selling product, we recommend you first approach people in your circle of friends and family. You might also notice that customers happy with the product will approach you. A customer of yours may be talking casually about their product experience and find they have a group of potential customers for themselves. Helping this customer become a Distributor is helping you as it opens up new areas of potential profit!
When describing the benefits of becoming a Distributor, feel free to use the Distributor Info section of the website during your pitch. This area provides an overview of what NouvelleHEALTH offers people interested in starting a business and using this as a visual guide can make the process easier to explain to them. Remember to highlight that Distributors buy products at discounted prices, receive their own web portal for easy online sales, have the option of a one-time Fast Track purchase, receive a competitive commission plan and are therefore able to make an extra income with limited effort. In short, tell them all the reasons you were attracted to becoming a Nouvelle Distributor!

| The Company - Developing a Home Based Business |
|
As an operator of a home based business it is important to set up your business operations properly, prepare and retain appropriate business records, plus take advantage of the various opportunities that allow you to minimize your taxes.
NOTE: NouvelleHEALTH does not provide personal tax or financial counseling. You should review your individual situation with your personal tax and/or financial counselor to determine the decisions and actions available for your unique needs. The information below is offered as consideration of various topics or areas that may or may not have an impact on your individual business or tax situation.
An important decision for new business operators is to separate your business activities and records from your personal activities and records. Specifically that means:

Set up a separate bank account for the business.
-
Channel all business income and expenses through that bank account.
-
Prepare bank reconciliation each month.
-
Keep receipts and other documents that support both income and expenses.
-
Record use of vehicles (mileage, expenses, etc.) to document the deductions you will include on your tax returns.
-
As the year proceeds prepare Income and Expense reports so that you can accurately measure the results of your business income and at year end file an accurate income tax return.
-
Retain your records for future reference to review your progress year over year and to have proper records available in the event of an tax audit.
Below are sections from government publications relating to home businesses and business record keeping. To obtain the full file for each of the records referenced below and for additional publications go to the IRS web site available on the Internet.
Publication 583: Starting a Business and Keeping Records
Business Expenses: You can deduct business expenses on your income tax return. These are the current operating costs of running your business. To be deductible, a business expense must be both ordinary and necessary. An ordinary expense is one that is common and accepted in your field of business, trade, or profession. A necessary expense is one that is helpful and appropriate for your business, trade, or profession. An expense does not have to be indispensable to be considered necessary.
Depreciation: If property you acquire to use in your business has a useful life that extends substantially beyond the year it is placed in service, you generally cannot deduct the entire cost as a business expense in the year you acquire it. You spread the cost over more than one tax year and deduct part of it each year.
Business Use of Your Home: To deduct expenses related to the business use of part of your home, you must meet specific requirements. Even then, your deduction may be limited. To qualify to claim expenses for business use of your home, you must meet both the following tests.
-
Your use of the business part of your home must be;
a. Exclusive (however, see Exceptions to exclusive use, later),
b. Regular,
c. For your trade or business, AND
-
The business part of your home must be one of the following:
a. Your principal place of business (defined later),
b. A place where you meet or deal with patients, clients, or customers in the normal course of your trade or business, or
c. A separate structure (not attached to your home) you use in connection with your trade or business.
Exclusive use: To qualify under the exclusive use test, you must use a specific area of your home only for your trade or business. The area used for business can be a room or other separately identifiable space. The space does not need to be marked off by a permanent partition. You do not meet the requirements of the exclusive use test if you use the area in question both for business and for personal purposes.
Exceptions to exclusive use: You do not have to meet the exclusive use test if either of the following applies:
1) You use part of your home for the storage of inventory or product samples.
2) You use part of your home as a daycare facility.
Principal place of business: Your home office will qualify as your principal place of business for deducting expenses for its use if you meet the following requirements.

You use it exclusively and regularly for administrative or management activities of your trade or business.
-
You have no other fixed location where you conduct substantial administrative or management activities of your trade or business.
Alternatively, if you use your home exclusively and regularly for your business, but your home office does not qualify as your principal place of business based on the previous rules, you can determine your principal place of business based on the following factors.
-
The relative importance of the activities performed at each location.
-
If the relative importance factor does not determine your principal place of business, the time spent at each location.
If, after considering your business locations, your home cannot be identified as your principal place of business, you cannot deduct home office expenses.
This article has addressed qualifying your home offices as a business deduction. One of the important factors to consider is making sure to have a separate room in your home to use as an office. It is necessary to have room that is used only for business and is not used for any personal purposes. For example; using your dining table or a dining room as an area for conducting business or taking care of business administration and record keeping does not qualify for deduction due to the combination and personal use of that area.
